These Terms of Service (“Terms”) establish the legally binding agreement between you or your organization and Dev Surge Infotech Ltd (“Dev Surge”, “we”, “us”, or “our”). By accessing our website, subscribing to our platforms, or engaging our consulting services, you agree to comply with and be bound by these Terms.
1 Acceptance of Terms
By browsing this website, logging into the Client Portal, utilizing Certify Pro or any proprietary Dev Surge product, you acknowledge that you have read, understood, and consented to these Terms and our Privacy Policy.
If you enter into this agreement on behalf of a corporation, educational institution, or government agency, you warrant that you possess full legal authority to bind that entity to these provisions.
2 Scope of Services
Dev Surge Infotech Ltd delivers premier technology solutions including:
- Bespoke Software Engineering: Architecture, development, QA testing, and DevOps deployment of web applications, mobile apps, and distributed systems.
- Proprietary SaaS Platforms: Access to cloud platforms including Certify Pro (digital certificate issuance & verification) and client management systems.
- Corporate IT & Executive Training: Industry-standard curriculum in Full-Stack Development, Cloud Infrastructure, Cyber Defense, Data Analytics, and Professional Office Suites.
- Cybersecurity Advisory & Auditing: Vulnerability assessments, penetration testing, compliance roadmaps, and zero-trust architecture consulting.
Specific project milestones, deliverables, timelines, and service levels are defined in separate binding Statements of Work (SOW) or Service Level Agreements (SLA) executed between the parties.
3 Portal Accounts & Access Controls
3.1 Account Integrity
Access to client dashboards and administrative portals requires authenticated credentials. You agree to provide accurate, up-to-date information and to safeguard your login identifiers. All activities conducted under your credentials remain your sole organizational responsibility.
3.2 Single Sign-On (SSO)
Where authentication is conducted via Google OAuth2, you are subject to the security policies and multi-factor authentication protocols enforced by your workspace administrator.
3.3 Unauthorized Access
You must notify Dev Surge security personnel immediately at devsurgeinfotech@gmail.com upon any suspected unauthorized credential usage or security compromise.
4 Intellectual Property Rights
4.1 Dev Surge Proprietary IP
All source code, architectures, software algorithms, UI/UX designs, trademarks, trade secrets, and logos embodied in our SaaS platforms and website remain the exclusive intellectual property of Dev Surge Infotech Ltd.
4.2 Custom Engineering Deliverables
Upon receipt of full and final payment under an executed custom engineering contract, Dev Surge Infotech Ltd assigns to the client the intellectual property rights in the specific bespoke deliverables created exclusively for that client, retaining perpetual rights to underlying general-purpose utility libraries, standard boilerplates, and developer toolkits.
4.3 Feedback
Any technical suggestions, architecture enhancements, or feature requests submitted to Dev Surge may be incorporated into our software products without royalty or attribution obligations.
5 Acceptable Use Policy
Users and client organizations shall not engage in, facilitate, or permit any of the following activities:
- Reverse engineering, decompiling, or attempting to derive the source code of proprietary Dev Surge platforms.
- Conducting automated scraping, data extraction, or denial-of-service (DoS) stress-testing without prior written authorization.
- Utilizing the digital certification infrastructure to issue counterfeit, misleading, or unauthorized credentials.
- Introducing trojans, worms, ransomware, or malicious code into Dev Surge server environments.
- Circumventing licensing restrictions, subscription tiers, or role-based access control firewalls.
6 Commercial Terms & Invoicing
6.1 Payment Schedules
Invoices for custom development and corporate training are issued according to the milestone schedule specified in the Statement of Work. Standard payment terms are net 14 calendar days from invoice date.
6.2 Taxes & Statutory Levies
All fees are exclusive of value-added tax (VAT), withholding tax (WHT), and statutory duties applicable in the jurisdiction of service delivery, which shall be added to invoices as required by law.
6.3 Late Payments
Balances remaining unpaid beyond 30 days are subject to interest at 2.0% per month (or the maximum lawful rate) and may result in temporary suspension of active portal access and deployment environments.
7 Mutual Confidentiality
Both parties agree to safeguard all proprietary information, trade secrets, software blueprints, client rosters, and financial details disclosed during the course of the engagement with the highest degree of care. Confidentiality obligations survive agreement termination for a period of three (3) years.
8 Warranties & Disclaimers
Except as expressly set forth in a formal Service Level Agreement, Dev Surge Infotech Ltd provides its platforms and public web services on an “AS IS” and “AS AVAILABLE” basis. We disclaim all implied warranties of merchantability, fitness for a specific purpose, and uninterrupted operation.
9 Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages, loss of anticipated revenue, or business interruption.
The total cumulative liability of Dev Surge Infotech Ltd arising out of any engagement shall not exceed the total fees paid by the client in the twelve (12) months preceding the event giving rise to the claim.
10 Indemnification
Each party agrees to indemnify and hold harmless the other party, its directors, officers, and employees from third-party claims arising from gross negligence, intentional misconduct, or breach of intellectual property warranties.
11 Termination & Suspension
Either party may terminate a service agreement for cause upon 30 days’ written notice of a material breach that remains uncured. Dev Surge reserves the right to immediately suspend access in the event of severe security threats or non-payment.
12 Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the substantive laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be submitted to amicable negotiations, and failing resolution within 30 days, to binding arbitration in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
13 Modifications to Terms
Dev Surge Infotech Ltd reserves the right to revise these Terms to align with new legal requirements or expanded software features. Continued use of our platforms following publication of revised terms constitutes binding acceptance.
